    1. Purpose

    The Discloser agrees to share confidential and proprietary information solely for the Recipient’s evaluation of potential collaboration, licensing, or distribution opportunities related to a novel fabrication method.

    2. Confidential Information Includes
    • Video demonstrations and technical overviews
    • Assembly logic and operating simplicity
    • Performance and time-efficiency data
    • Design schematics, workflows, or proprietary processes
    • Non-public commercial or strategic insights
    3. Recipient Obligations
    • Use disclosed information solely for the intended purpose
    • Maintain confidentiality and not disclose to third parties
    • Employ reasonable safeguards to protect the information
    • Immediately notify the Discloser of any breach or suspected breach
    4. Exclusions
    • Information already in the public domain without Recipient’s fault
    • Information lawfully obtained or independently developed
    • Disclosures required by law (with prior written notice where applicable)
    5–8. Legal Terms

    5. Term: This agreement remains in effect for 3 years from the execution date.

    6. No License: This NDA does not grant rights to any intellectual property or inventions.

    7. Jurisdiction: Governed by the laws of Queensland, Australia. Disputes shall be settled exclusively within its courts.

    8. Entire Agreement: This NDA constitutes the complete understanding between the parties.
